App Terms

This App Terms explains how Coach Nova Limited (“CoachNova”, “we”, “us”, or “our”) uses cookies and similar tracking technologies on our website at coachnova.ai and our platform (collectively, the “Services”).

Coach Nova Limited is a company incorporated in the Republic of Ireland (Company No. 802869) with its registered address at 71 Lower Baggot Street, Dublin 2, D02P593, Republic of Ireland.

This policy should be read alongside our Privacy Policy, which explains how we process personal data.

1. What These App Terms Cover

These App Terms apply to the CoachNova mobile applications for iOS and Android (each an “App”). They sit alongside, and do not replace, the Terms of Service for Coaches or the Access Terms for Coachees. Where an App Term conflicts with those documents on a device specific matter, the App Term applies. On everything else, those documents apply.

1.1 Who These Apply To

These App Terms apply to anyone who installs an App, whether You are a Coach with a CoachNova subscription or a Coachee whose Coach has given You access.

1.2 No Charge Through the App

Nothing is sold inside an App. A Coachee is never charged by CoachNova, and a Coach's subscription is arranged outside the App and is not an in app purchase.

A Coachee's access comes through their Coach, who holds the subscription. A Coach may charge their Coachee a fee that includes access to the Coach Companion and this App, as described in Clause 2.6 of the Terms of Service for Coaches. That fee is between the Coach and the Coachee. CoachNova is not a party to it and takes no share of it.

2. Licence

2.1 Licence Grant

CoachNova grants You a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the App on a device You own or control, for the purposes described in the Terms of Service for Coaches or the Access Terms for Coachees, as applicable to You.

2.2 Restrictions

You may not copy, modify, reverse engineer, decompile, disassemble, rent, lease, lend, sell, redistribute or sublicense the App, except where that restriction is prohibited by law.

2.3 Updates

CoachNova may issue updates. Some updates are required for the App to continue working, and features may change or be withdrawn.

3. Permissions on Your Device

3.1 Microphone

The App requests microphone access so that a session held in person, or on a device rather than a video call, can be captured. Microphone access is used only while a session is being captured, only where recording consent has been given under the Access Terms, and never in the background. You can withdraw the permission in Your device settings at any time, which prevents capture through the App.

3.2 Notifications

The App requests permission to send push notifications, used for session reminders, messages from Your Coach, and anything the Coach Companion has flagged for attention. Notification content may appear on a locked screen depending on Your device settings. You can turn notifications off at any time without losing access to anything else.

3.3 Data Held on Your Device

The App stores a limited amount of data locally on Your device so that it works reliably, including your sign in state and recently viewed content. Deleting the App removes locally stored data from that device. It does not delete Your account or Your data held by CoachNova, which is covered by the Privacy Policy.

3.4 No Advertising Identifiers

The App does not use advertising identifiers, does not track You across other companies' apps or websites, and does not sell or share personal data for advertising.

4. Age

The App is not intended for and may not be used by anyone under the age of 18. The age requirement in the Access Terms applies to the App in the same way.

5. Apple App Store

The following applies where You obtained the App from the Apple App Store, and is included to meet Apple's minimum terms.

5.1 Apple Is Not a Party

These App Terms are between You and CoachNova only, not with Apple. CoachNova, not Apple, is solely responsible for the App and its content.

5.2 Scope of Licence

The licence granted in Clause 2.1 is limited to a non-transferable licence to use the App on any Apple branded product that You own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

5.3 Maintenance and Support

CoachNova is solely responsible for providing maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.

5.4 Warranty

In the event of any failure of the App to conform to any applicable warranty, You may notify Apple, and Apple will refund the purchase price of the App to You, if any. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App.

5.5 Product Claims

CoachNova, not Apple, is responsible for addressing any claims by You or any third party relating to the App or Your possession and use of it, including product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or privacy legislation.

5.6 Intellectual Property Claims

In the event of any third party claim that the App infringes that third party's intellectual property rights, CoachNova, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.

5.7 Legal Compliance

You represent that You are not located in a country subject to a United States Government embargo or designated as a terrorist supporting country, and that You are not listed on any United States Government list of prohibited or restricted parties.

5.8 Third Party Beneficiary

Apple and Apple's subsidiaries are third party beneficiaries of these App Terms, and upon Your acceptance Apple will have the right, and is deemed to have accepted the right, to enforce these App Terms against You as a third party beneficiary.

6. Google Play

Where You obtained the App from Google Play, Your use is also subject to the Google Play Terms of Service. Google is not a party to these App Terms and is not responsible for the App.

7. Everything Else

Privacy is covered by the Privacy Policy. Your rights and obligations in respect of the coaching relationship are covered by the Terms of Service for Coaches or the Access Terms for Coachees. Governing law, liability and termination follow whichever of those documents applies to You.
